Terms of Service
1. Acceptance of Terms
By accessing or using the SpeedL platform (“Service”) operated by Memin Technology Inc. (“Memin Technology”, “we”, “us”, or “our”), you agree to be bound by these Terms of Service (“Terms”), our Privacy Policy, our Cookie Policy, and our Safety Notice, which are incorporated into these Terms by reference.
If you are accepting these Terms on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
2. Description of Service
SpeedL is an enterprise B2B platform that uses artificial intelligence to transform documents, SOPs, and training materials into interactive decision-training simulations. The Service includes document upload, AI-powered simulation generation, simulation playback, team management, and analytics features.
3. Accounts and Eligibility
To use SpeedL, you must create an account using your email address or sign in through a supported identity provider (such as Google). You are responsible for maintaining the security of your account credentials and for all activities that occur under your account. You must be at least 18 years old or the age of legal majority in your jurisdiction to use SpeedL.
Enterprise accounts are provisioned through your organization’s subscription. Access may be managed by your organization’s administrator.
4. Acceptable Use
Your use of SpeedL is subject to our Safety Notice. In addition, you agree not to:
- Use SpeedL for any unlawful purpose or in violation of applicable laws.
- Upload content that you do not have the right to process or that infringes third-party intellectual property rights.
- Upload content containing personally identifiable information (PII) of individuals who have not consented to AI processing.
- Attempt to reverse-engineer, decompile, or extract the source code of SpeedL or its AI models.
- Interfere with or disrupt the Service, its servers, or connected networks.
- Resell, sublicense, or redistribute SpeedL or its outputs without our written consent.
- Use automated tools (bots, scrapers) to access SpeedL, except through our documented APIs.
We reserve the right to suspend or terminate access for violations of these Terms or our Safety Notice.
5. Intellectual Property
Our IP: SpeedL, including its software, AI models, user interface, branding, and documentation, is the intellectual property of Memin Technology Inc. and is protected by applicable intellectual property laws. These Terms do not grant you any ownership rights in the Service.
Your Content: You retain all intellectual property rights in the documents and materials you upload to SpeedL. By uploading content, you grant us a limited, non-exclusive license to process that content solely for the purpose of delivering the Service (generating and hosting your simulations).
Generated Simulations: Simulations generated by SpeedL from your uploaded content are provided for your use under your subscription. You may use generated simulations within your organization for training purposes. The underlying AI technology and simulation engine remain our intellectual property.
6. AI Processing and Uploaded Content
SpeedL uses third-party AI services (currently OpenAI, Anthropic, and Google) to process your uploaded documents and generate simulations. By using the Service, you acknowledge and agree that:
- Your uploaded content will be transmitted to and processed by third-party AI providers solely for the purpose of generating your requested simulations, in accordance with their enterprise data processing terms.
- Memin Technology does not use the content of your uploaded documents, nor any personally identifiable information derived therefrom, to train, fine-tune, or evaluate any AI or machine learning model, whether operated by Memin Technology or any third party.
- Memin Technology may use platform usage data, operational metrics, and error reports generated through your use of the Service (including anonymized simulation interaction data and system performance logs) to maintain, improve, and develop the SpeedL platform. Such data does not include the content of your uploaded documents or any personally identifiable information.
- AI-generated outputs may be inaccurate, incomplete, or unexpected. You are responsible for reviewing all simulations before deploying them to your organization’s learners.
- SpeedL simulations are training aids and should not be used as the sole basis for critical business, medical, legal, or safety decisions.
For details on how we handle your data, please refer to our Privacy Policy.
7. Subscriptions and Payment
Access to SpeedL is provided through organizational subscriptions (“Subscription”), obtained directly from Memin Technology or through an authorized reseller or channel partner (“Partner”). The specific commercial terms of each Subscription — including pricing, applicable usage quotas, subscription tier, and payment schedule — are set forth in the applicable order form, statement of work, or partner agreement (“Order Form”) and shall govern in the event of any conflict with these Terms.
Renewal: Unless otherwise specified in the applicable Order Form, Subscriptions renew automatically for successive periods equal to the initial subscription term, unless either party provides written notice of non-renewal at least thirty (30) days prior to the end of the then-current term.
Usage Quotas: Certain SpeedL features consume usage credits or are subject to seat or generation limits as specified in your Order Form. Unused credits and quota allocations expire at the end of each subscription term and are non-refundable unless otherwise agreed in writing.
Pricing Changes: Memin Technology reserves the right to modify pricing for any subsequent subscription term. We will provide at least sixty (60) days’ advance written notice of any pricing changes to the billing contact on record prior to the affected renewal date.
Partner-Managed Subscriptions: Where a Subscription is provisioned through an authorized Partner, the commercial relationship between your organization and that Partner (including billing and support terms) is governed by your agreement with the Partner. Memin Technology’s obligations under these Terms run directly to the subscribing organization with respect to the Service, irrespective of the partner channel.
8. Limitation of Liability
To the maximum extent permitted by applicable law:
- No Consequential Damages: In no event shall Memin Technology be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising from your use of the Service.
- Liability Cap: Our total aggregate liability arising from or related to these Terms or the Service shall not exceed the greater of (a) the amount you or your organization paid to us in the twelve (12) months preceding the claim, or (b) one hundred U.S. dollars (US$100).
Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability is limited to the fullest extent permitted by law.
9. Warranty Disclaimer
The Service is provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory. We disclaim all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, accuracy of AI-generated content, and non-infringement.
We do not warrant that the Service will be uninterrupted, error-free, or that AI-generated simulations will be accurate, complete, or suitable for any particular training purpose.
10. Indemnification
You agree to indemnify, defend, and hold harmless Memin Technology Inc., its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to:
- Your use of the Service in violation of these Terms.
- Content you upload to SpeedL that infringes third-party rights or violates applicable law.
- Your deployment of AI-generated simulations to your end users.
11. Term and Termination
These Terms remain in effect for as long as you use SpeedL. We may suspend or terminate your access at any time for violation of these Terms, with or without notice. Your organization may terminate its subscription in accordance with its subscription agreement.
Upon termination: (a) your right to access SpeedL ceases immediately; (b) we will delete your uploaded content and generated simulations within 30 days, subject to any legal retention obligations; (c) provisions that by their nature should survive termination (including Sections 5, 8, 9, 10, and 12) will survive.
12. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the Republic of China (Taiwan), without regard to its conflict of laws provisions. Any dispute arising from or relating to these Terms shall be submitted to the exclusive jurisdiction of the Taipei District Court in Taiwan as the court of first instance.
13. Changes to These Terms
We may update these Terms from time to time. When we make material changes, we will update the “Effective Date” above and notify affected users through appropriate channels (e.g., email or in-app notification) at least 30 days before the changes take effect. Continued use of SpeedL after the effective date constitutes your acceptance of the revised Terms.
14. Miscellaneous
- Entire Agreement: These Terms, together with the Privacy Policy, Cookie Policy, and Safety Notice, constitute the entire agreement between you and Memin Technology regarding SpeedL.
- Severability: If any provision of these Terms is held to be unenforceable, the remaining provisions shall continue in full force and effect.
- No Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
- Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations under these Terms in connection with a merger, acquisition, or sale of assets.
15. Force Majeure
Neither party shall be liable for any failure or delay in the performance of its obligations under these Terms (other than payment obligations) to the extent such failure or delay is caused by or results from circumstances beyond that party’s reasonable control, including but not limited to: acts of God, natural disasters, epidemic or pandemic; war, terrorism, civil unrest, government actions, or trade restrictions; internet service interruptions or infrastructure failures of third-party AI providers, cloud hosting services, or identity management providers upon which the Service depends (including but not limited to OpenAI, Anthropic, Amazon Web Services, and Google); or cyberattacks directed at Memin Technology or its infrastructure providers.
The affected party shall notify the other party promptly upon becoming aware of a force majeure event and shall use commercially reasonable efforts to resume performance as soon as practicable. If a force majeure event continues for more than thirty (30) consecutive days, either party may terminate the affected Subscription upon written notice, with a pro-rated refund of prepaid fees covering the period of non-performance.
16. Service Level Framework
Memin Technology will use commercially reasonable efforts to maintain SpeedL platform availability. Service availability targets, maintenance windows, and incident response obligations for each subscription tier are as specified in the applicable Order Form or Service Level Agreement (“SLA”) addendum, where applicable.
Memin Technology may perform scheduled maintenance that temporarily affects Service availability. We will provide at least forty-eight (48) hours’ advance notice of scheduled maintenance through in-app notification or email. Scheduled maintenance periods are excluded from availability calculations in any applicable SLA.
SpeedL’s simulation generation capabilities are dependent upon third-party AI services. Service availability commitments in any SLA addendum do not cover unavailability directly attributable to outages of such third-party services. Where a specific SLA applies and Memin Technology fails to meet the agreed availability target, the subscribing organization’s sole and exclusive remedy shall be a service credit as specified in the applicable SLA addendum. Service credits shall not exceed the monthly subscription fee for the affected period and shall not be redeemable for cash.
